NO VA LAND INVESTMENT GROUP CORPORATION No.: 21/2017-NQ.HĐQT-NVLG SOCIALIST REPUBLIC OF VIET NAM Independence - Freedom - Happiness HCMC, May 29th, 2017 RESOLUTION OF THE BOARD OF DIRECTORS NO VA LAND INVESTMENT GROUP CORPORATION Pursuant to: - Law on Enterprises is passed by National Assembly dated on November 26th, 2014; - The Annual General Meeting of Shareholders’ Resolution No 11/2017-NQ-NVLG dated on April 27th, 2017 regarding to amendment and supplement of the Charter of No Va Land Investment Group Corporation; - The Annual General Meeting of Shareholders’ Resolution No 13/2017-NQ-NVLG dated on April 27th, 2017 regarding to supplement of Business lines of No Va Land Investment Group Corporation; - The confirmation of changes in business registration regarding to Business lines was issued by Department of Planning and Investment of HCMC dated on May 15th, 2017; - The Meeting minutes of the Board of Directors of No Va Land Investment Group Corporation dated on May 29th, 2017 RESOLVE THAT Article 1: The Board of Directors (BOD) of No Va Land Investment Group Corporation (the Company) approved for the new Charter being amended and supplemented according to the 2017 Annual General Meeting of Shareholders’ Resolution (The Charter is attached to this Resolution) Article 2: The new Charter has been replaced for the Charter dated on July 21st, 2016 Article 3: The BOD, Legal representative, relevant departments and employees of the Company are required to execute the tasks in accordance to this Resolution Article 4: This Resolution shall be effective from the date of signing ON BEHALF OF THE BOD CHAIRMAN OF THE BOARD (Signed & sealed) BUI THANH NHON This document is a translation of Resolution of the BOD about new Charter on May 29th, 2017 The translation is for informational purposes only, and is not a substitute for the official policy If any questions arise related to the accuracy of the information contained in the translation, please refer to the Vietnamese version of the document Any discrepancies or differences created in the translation are not binding and have no legal effect for compliance or enforcement purposes
