quốc tế Vì vậy, việc dù bối cảnh thị trường giới nước có nhiều chuyển đổi TTLKCK từ mơ hình đơn vị hành nghiệp biến động thách thức song năm 2009 năm đánh dấu sang mơ hình Cơng ty TNHH thành viên với 100% vốn nhiều kiện quan trọng thị trường chứng khoán bắt Nhà nước sở hữu bước cần thiết giúp nâng cao tính đầu triển khai hệ thống quản lý đăng ký, lưu ký chứng khốn tự chủ tài chính, hồn thiện kết cấu hạ tầng kỹ thuật để công ty đại chúng chưa niêm yết phục vụ thị trường giao dịch đáp ứng ngày tốt nhu cầu đổi TTLKCK UPCOM; khai trương thị trường trái phiếu chuyên biệt, trái yêu cầu phát triển thị trường tương lai phiếu ngoại tệ đặc biệt hồn tất cơng tác chuyển đổi mơ hình hoạt động chủ thể quan trọng thị trường có Trung tâm Lưu ký Chứng khốn (TTLKCK) qua góp phần hồn thiện bước cơng tác tổ chức hoạt động thị trường theo hướng chun nghiệp hóa Chúng tơi tin tưởng rằng, bước phát triển tạo đà vững để TTLKCK tiếp tục phát huy kết đạt năm tiếp theo, khẳng định vai trò quan trọng thiếu việc đảm bảo vận hành an tồn, ổn định thơng suốt thị trường chứng khoán Việt Đối với TTLKCK, sau 03 năm vào hoạt động, Nam thông qua việc cung cấp dịch vụ hỗ trợ, giúp hoàn TTLKCK hồn thành tốt vai trị việc đảm bảo tất q trình giao dịch, củng cố lịng tin cơng chúng đầu hoạt động an tồn, liên tục cho hệ thống toán chứng tư thị trường Trung tâm lưu ký chứng khoán Việt nam Báo cáo thường niên 2009 Chịu ảnh hưởng từ khủng hoảng kinh tế giới, từ Trung tâm lưu ký chứng khoán Việt nam Báo cáo thường niên 2009 phát biểu Tổng Giám đốc vấn đề phát sinh liên quan tới chế, sách cần phải hồn lượng cơng việc mà Trung tâm Lưu ký Chứng khoán Việt Nam thiện để phục vụ tốt phù hợp với tình đa (TTLKCK Việt Nam) đạt lớn, ghi nhận nhiều dấu ấn dạng phát sinh thị trường chứng khốn, góp phần vào việc quan trọng có tính bước ngoặt TTLKCK Việt Nam xét hoàn thiện bước chế pháp lý quản lý hoạt động nhiều khía cạnh Về mặt mơ hình, chúng tơi hồn thành lưu ký, tạo thuận lợi mặt thực cho bên liên quan công tác chuyển đổi mơ hình hoạt động Trung tâm theo Chúng tơi vui mừng đóng góp cho Quyết định số 171/2008/QĐ-TTg ngày 18/12/2008 Thủ phát triển thị trường chứng khoán quan quản tướng Chính phủ việc thành lập TTLKCK Việt Nam ngày lý, thành viên thị trường ghi nhận đánh giá cao 29/7/2009 Về mặt hoạt động, bên cạnh việc trì hoạt động nghiệp vụ lưu ký, tốn bù trừ liên tục, an tồn ổn định với khối lượng công việc gia tăng việc triển khai thực đăng ký lưu ký tập trung chứng khốn cơng ty đại chúng chưa niêm yết theo Luật Chứng khốn, chúng tơi hoàn tất việc chạy thử nghiệm phần mềm với việc kết nối với thành viên lưu ký thông qua cổng giao tiếp chuẩn bị cho việc đưa vào áp dụng hệ thống phần mềm nghiệp vụ năm 2010 Trong lĩnh vực hợp tác quốc tế, để bước mở rộng quan hệ quốc tế hội nhập với thị trường chứng khoán khu vực nâng cao vai trò vị TTLKCK Việt Nam, góp phần quảng bá cho hình ảnh thị trường chứng khốn Việt Nam, chúng tơi tổ chức thành công Hội nghị thường niên lần thứ 13 Trung tâm Lưu ký Thanh toán Bù trừ khu vực châu Á Thái Bình Dương (ACG) Hiện TTLKCK Việt Nam giữ vai trò Tổng thư ký Hiệp hội Song song với việc đảm bảo tốt chất lượng dịch vụ sau giao dịch, TTLKCK Việt Nam đúc kết, tổng hợp Bước sang năm 2010, TTLKCK Việt Nam xác định rõ mục tiêu hoạt động đảm nhiệm tốt vai trò tổ chức trung gian cung cấp dịch vụ sau giao dịch, đáp ứng nhu cầu phát triển ngày đa dạng thị trường Để đạt mục tiêu đó, TTLKCK Việt Nam khơng ngừng trọng hoạt động nhằm nâng cao chất lượng nghiệp vụ hoàn thiện sở pháp lý, cải tiến, nâng cấp hệ thống công nghệ thông tin, mở rộng hợp tác quốc tế đặc biệt quan tâm đào tạo nguồn nhân lực có trình độ chun mơn cao để hướng tới nâng cao chất lượng dịch vụ, đáp ứng ngày tốt yêu cầu thị trường Với nỗ lực phấn đấu tập thể cán TTLKCK Việt Nam với quan tâm, đạo sát and Decision no 171/2008/QD-TTg dated December 18th 2008 by the Prime Minister on the establishment of Vietnam Securities Depository as a wholly state-owned limited liability company, on July 29th 2009, in Hanoi, the Ministry of Finance organized the official inauguration ceremony of Vietnam Securities Market The ceremony honorably received the presence of leaders of the Ministry of Finance, the State Securities Commission, and representatives from other ministries and agencies, together with the attendance of many depository members and issuers The establishment of VSD is based on the conversion and reorganization of the current VSD into a wholly state-owned limited liability company, having rights and responsibilities stipulated by the Securities Law, Corporate Law, VSD’s charter and other relevant laws and regulations This special occasion marked VSD’s important conversion of business model as stipulated by the Securities Law, which was an essential step in the development process of a more professional Vietnam securities market The new business model helps VSD in surmounting the drawbacks of a state agency, enhancing financial independence, lessening the burden on government budget, separating state governance with business operation and improving position in international relations, satisfying the need for market development and technology renovation Vietnam negotiable documents, shaping character S “Securities” where they unite Character V & D also create the image of joining hands representing the idea of protecting hand The center of the logo with 12 strokes, suggesting investment flows on the securities market The logo takes the secure and flawless hexagon-shaped of diamond and beehive with the black and strong line of “Trung tâm lưu ký chứng khoán Việt Nam” or “Vietnam Securities Depository” underneath The whole idea of the logo denotes VSD’s contribution in maintaining the security and continuity of Vietnam securities market Business operations Introduction of securities registration and depository system and guaranteed government bonds were officially centralized serving UPCOM market at HNX in a specialized market, separated from the trading Following guidelines of the State Securities Commission on 72 thoroughly prepared in terms of mechanism and technical Vietnam Securities Depository Annual Report 2009 securities registration of unlisted public companies, VSD has UPCOM market in accordance with the Ministry of Finance’s structure guidelines, and cooperated with HNX to launch itinerary VSD commenced registration and depository services to securities of unlisted public companies on June 01st 2009, serving the opening of UPCOM market on June 24th 2009 At the time of official UPCOM market opening, VSD had registered and deposited securities for 10 unlisted public companies As of December 31st 2009, VSD has registered securities for 51 unlisted public companies with the total amount of 787,045,802 shares (approximately 7,870 billion VND in face value) VSD also deposited 118,203,027 shares, equivalent to 1,182 billion VND from 35 issuers Besides, about 100 companies have submitted securities registration documents at VSD which were awaiting further additions to complete the documents With a close management mechanism for securities registration and depository of listed public companies, VSD had contributed to the development of UPCOM market, creating more products for the securities market and facilitating investors by improving transparency and limiting settlement risk and documents falsification which used to occur in the free market Securities registration and depository activities serving specialized government bond market market of other securities To provide services to the operation of this market, VSD has established and brought into function a system of registration, depository, clearing and settlement, independent from the system for other securities in listing market at stock exchanges With an aim to improve the cooperating mechanism among related parties participating in this market, VSD has renewed the Three Parties Minutes of Agreement between VSD, HNX and bond issuers including the State Treasury, Hanoi Treasury and Bank for Investment and Development of Vietnam (BIDV), and newly signed with other bond issuers including Vietnam Bank for Social Policies, Vietnam Expressway Company and Ho Chi Minh City Investment Fund for Urban Development According to the Minute of Agreement, the registration of bond traded on the specialized bond market is simplified in terms of documents and procedures for issuance of securities registration certificate In 2009, VSD has registered 38 types of government bonds and guaranteed government bonds with the total of 155,685,000 bonds, equivalent to 15,568.5 billion VND in face value, and deposited 48 types of bonds with the quantity of 157,965,000 and face value of 15,796 billion VND Especially, 2009 also marked the launch of foreign-currency bond when the State Treasury issued USD-denominated bonds to mobilize fund for projects of national focus and to compensate budget deficit After the foreign currency bonds have been successfully tendered through HNX, as requested by the State Treasury, they were registered and deposited The year 2009 marked new development in consolidating the with VSD for trading in the market As of December 31st 2009, trading activities organization of government bond market VSD has registered and deposited types of foreign currency with the introduction of the specialized government bond bonds, with the total quantity of 4,701,100, equivalent to market All trading of government bonds, municipal bonds 470,110,000 USD Establishment of the new business operational software securities registration and depository required the enhancement of information technology capacity In response, since 2008, VSD has studied and constructed a new business operational software – the information synchronization software, which was considered as the first and foremost task for VSD Significant feature of the new system The application software for the synchronization of all business functions and data at VSD was implemented and completed at the end of 2009 The new software has the following advantages over the current system: operating with new technology as the base to ensure speed, stability and scalability; database are centralized at Head Office and backed up at HoChiMinh City Branch; connections with members through electronic gateways, improvements of old system’s business functions; management of accounts of end-users, etc Connection between VSD and members In 2009, VSD has completed the connection with 92 depository members Through this connection, members are able to update information on the opening and closing of customers’ accounts, carry out business functions or export reports and account balance, based on authority granted by VSD The connection shall improve VSD’s processing capacity and efficiency and service quality provided to members Trial running of the new system In order to evaluate the functions of the new business software system, in 2009, VSD has carried out three courses of training and trial running of the new system with members Through the training and trial running, VSD members thoroughly understand the new rules and processes implemented by VSD and directly practise on the new system through the electronic gateway connection The experiments also helped VSD to assess the business functions of the new system, the stability and process ability when connecting with all depository members, which was the basis for early implementation of the system in 2010 73 Vietnam Securities Depository Annual Report 2009 The increasing market demand for the management of changes in the industry At the General Meeting, many linking models in providing services among members have been introduced, good practices in post-trade services providing in different markets have been presented and discussed, which helped to further understanding and encouraged information exchange among ACG members As for VSD, after more than three years of operation, VSD has shown its strong developments in all fields, including international cooperation By successfully hosting 13th ACG General meeting, VSD has enhanced its position before international partners, and at the same time helped to introduce developing potentiality and popularize International cooperation activities VSD attended the 10th Conference of CSD in Hungary (20 – 22 May 2009) Vietnam Securities Depository Annual Report 2009 74 VSD’s delegate attended the 10th Conference of CSD (CSD10) in Budapest, Hungary from 20th May to 22nd May, 2009 Further to the aim of updating information, knowledge of securities markets’ post-trading infrastructure as well as exchanging views Vietnam Securities Market to international community At the General Meeting, VSD officially took over the role as ACG13 Secretariat from SGX In its new role, VSD will be involved in ACG activities, represent ACG to communicate with other regional CSD associations such as European Central Securities Depository Association (ECSDA), Americas’ Central Securities Depositories Association (ACSDA), etc Signing Minute of Understanding (MOU) with Japan Securities Depository Center, Inc (JASDEC) - 9th October in management in global economic crisis, this was also the 10th jubilee Conference of Central Securities Depository Many issues were discussed such as STP and standardization, and effective solutions for corporate actions processing applied in CSDs Holding successfully 13th ACG General Meeting (07-09 October 2009) The MOU signing ceremony between VSD and JASDEC was held on the sideline of 13th ACG General Meeting The purpose of this signing is to strengthen cooperation via of information 13th ACG General Meeting was held by 2010, VSD will promulgate new guidelines on business activities at VSD including Guideline on securities registration, Guideline on securities depository, Guideline on securities clearing and settlement, Guideline on allocation of trading code, Guideline on executing corporate actions for securities owners, Guideline on VSD membership These new guidelines are established on the basis of modifying existing Guidelines with the view to improve procedures and better correspond with market practice and the end-user management function of the new system Promulgation of Procedure for management and internal control of business activities To strengthen the stringency and accuracy of business procedures, in 2010, VSD will promulgate Procedure for management and internal control of all business activities at VSD, which specifies steps, manners and responsibilities in business procedures With this Procedure, VSD is able to improve the reliability and conformity to relevant regulations in its activities Official implementation of new business software system In Quarter of 2010, VSD plans to implement the new business software system After officially implemented, the new system will greatly contribute to improving quality of business activities at VSD, reinforcing the management and control of regulators as well as maintaining the safety for Vietnam securities market Information technology Upgrading server room’s facilities and equip access control system at VSD Apart from improving system efficiency and information security, in 2010, VSD will focus on improving sever rooms’ facilities to meet security requirements of physical and operational environment for the information technology system Planned improvements include: standard floor, ceiling, partition and door, fire prevention system and access monitoring system Upgrading VSD’s website To serve the information demand of investors and readers interested in securities market and securities depository activities, VSD will upgrade the website using portal technology The upgraded website will have a friendlier and more convenient interface for information searching as the portal technology provides high customizing capacity (allow advanced search according to various criteria and access speed, providing rapid and accurate results; allow the establishment of limited access areas for different readers, etc.) New products and services In 2010, VSD will carry out research to improve the securities settlement system in order to strengthen the business handling capacity and minimize system’s internal risks Moreover, VSD will also look into providing new services such as transfer agent, unlisted securities shareholder certificate management, derivatives clearing and settlement etc The development of new services will help VSD to expand and diversify business activities, meeting international standards and aiming towards the common goal of expanding the market scale 81 Vietnam
