n, s b ràng bu c b i Th a thu n THIS DOCUMENT states the terms and conditions forming part of the agreement (“Agreement’) between the customer (“I”) and Citibank N.A, Hanoi Branch and Ho Chi Minh City Branch (“Citibank, Vietnam”, “you” “your”), and governing my Account(s) with you and the Products and Services which you in your absolute discretion may extend to me under the Account(s) This document should be read in conjunction with Citibank Product Application and Account Opening Form and the relevant account or product specific terms and conditions carefully as they contain details of binding legal arrangements between us I agree that once the Citibank Product Application and Account Opening Form is signed by me and you accept my application, I will be bound by this Agreement Đ NH NGH A nh n chuy n nh ng, bên nh n chuy n giao ho c bên mua ó The words “you”, “your” and “yours” refer to the Citibank N.A Hanoi Branch and Ho Chi Minh City Branch where my Account is maintained, and its successors and any novatee, assignee, transferee or purchaser of its rights and/or obligations hereunder and any reference to such branch of Citibank, N.A includes a reference to such successor, authority in Vietnam and in any jurisdiction that (i) Vietnam has in effect an agreement with (or any international treaty of which Vietnam is a member) or (ii) Citibank, N.A., - the parent bank of Citibank, N.A, Hanoi Branch and Ho Chi Minh City Branch (or any of Group Companies) is required to comply with provided that such application is not contrary to the basic principles of the laws of withholding, income tax, value added tax, tax on the sale or disposition of any property, duties, or any other lawfully collected amount which are required to be withheld or deducted to comply with Citibank's prescribed security procedures or any of your or Citibank's prescribed access codes, electronic signatures, passwords, identification numbers, tokens, electronic devices or other equipment, means such credit or other facilities which you may in your discretion agree to make available to me (whether solely or jointly with other party(ies)) or to third party(ies) from time to time "FATCA" Republic of Vietnam or any jurisdiction that (i) Vietnam has in effect an agreement with, including any international treaty of which Vietnam is a member or (ii) Citibank, N.A., - the parent bank of Citibank, N.A, Hanoi Branch and Ho Chi Minh City Branch (or any of Group Companies) is required to comply with provided that such application is not contrary to the basic principles of the laws of secrecy, privacy or data protection rights related to my Account(s) For the purpose of complying with Law or Regulation, especially FATCA requirements, you and your Group Companies will use, hold and process my information on my Investment Account(s)/Account(s) and disclose it to other Group Companies You will also disclose my information if you are requested or permitted to so by Law or Regulation, including to Authorities to the extent permitted by Vietnamese law In case where the law and regulation of Vietnam prohibits or materially restricts you from disclosing my information to Authorities, I agree to authorize you to transfer or disclose my information on my Account(s) (including transactional, personal information) to Citibank or to any of Group Companies in a jurisdiction bao gồm việc đưa điều khoản lý sau đây: You may at your absolute discretion, vary, amend or modify any one or more provisions of these Terms and Conditions at any time, including introducing new terms for any of the following reasons: • thay đổi thị trường; • because of changes of the market; • thay đổi cơng nghệ; • because of changes in technology; • thay đổi Luật Quy định pháp luật hay quy chế document is printed, you will not rely on the term but will treat it as if it did reflect the relevant regulatory requirement, we will make those changes as soon as reasonably practicable You will shall fail to provide such security by such time as may be specified by the Transferee Bank, I shall be deemed to have given to you notice of cancellation and repayment of such credit facility on and
