chương trình tham quan du lịch đạt hiệu quả, với bên A xếp số lượng phịng ngủ cho phù hợp theo danh sách đồn bên B cung cấp c Mỗi cá nhân đồn tự chịu trách nhiệm hành lý d Mỗi cá nhân đoàn phải chấp hành nội qui đồn, qui định khách sạn khơng mang hàng quốc cấm, vũ khí suốt trình tham gia chương trình du lịch theo Hợp đồng e Thanh tốn đủ khoản phí tour theo giai đoạn cụ thể quy định Điều 03 hợp đồng Bên B tốn cho bên A tiền mặt chuyển khoản ĐIỀU 03: GIÁ TRỊ HỢP ĐỒNG VÀ PHƯƠNG THỨC THANH TOÁN A Giá trị hợp đồng: Đã Bao Gồm Thuế Giá Trị Gia Tăng Gía tour khách người lớn : 54,892,752 VNĐ/Khách x 20 Khách = 1,097,855,040 VNĐ Voucher (02 khách): 54,892,752 VNĐ/Khách x 02 Khách TỔNG CỘNG = 109,785,504 VNĐ = 1,207,640,544 VNĐ B Phương thức tốn: • Lần 1: Bên B toán lần thứ cho bên A sau hợp đồng ký kết 40% (Bốn mươi phần trăm) giá trị hợp đồng với số tiền là: o 1,207,640,544 VNĐ x 40% = 483,056,218 VNĐ (Bốn trăm tám mươi ba triệu không trăm năm mươi sáu ngàn hai trăm mười tám đồng) • Lần 2: Sau kết thúc chuyến tham quan, hai bên tiến hành lý hợp đồng Bên B tốn số tiền cịn lại chi phí phát sinh vào phiếu xác nhận thực tế biên tốn ký Trưởng đồn bên B Hướng dẫn viên du lịch bên A (nếu có) cho Bên A Bên A xuất hóa đơn tài VAT cho bên B theo nội dung lý hợp đồng xác nhận hai bên Bên B tốn phần tiền cịn lại cho bên A vòng 60 ngày Bên B tốn cho bên A chuyển khoản theo thơng tin tài khoản: Do vậy, lý cá nhân hay nội bên B mà số khách đoàn khách bên B kéo dài thời gian lưu trú Châu Âu, bên B cá nhân khách phải chịu phí tổn để mua lại vé máy bay để trở Việt Nam Trong trường hợp bên B hủy tour (toàn đoàn) lý nội khơng thuộc trách nhiệm bên A từ ngày ký hợp đồng, Bên B đồng ý toán cho bên A số tiền cọc khơng hồn lại mà bên A chuyển trước cho Hãng Hàng Không khách sạn Châu Âu bên A(bên A xuất trình chứng từ) 3% dịch vụ phí cho bên A tính tổng số tiền theo quy định CHI PHÍ HỦY TOUR Sau đặt cọc vé máy bay (ngày 19/03/2019) Khách hủy tour chi trả 5.000.000VNĐ/Khách Sau hoàn tất thủ tục nộp visa : 12.000.000đ/Người Nếu hủy chuyến du lịch vòng từ 15 – 20 ngày trước ngày khởi hành : Chi trả 50% giá tour du lịch Nếu hủy chuyến du lịch vòng từ 11 – 14 ngày trước ngày khởi hành : Chi trả 70% giá tour du lịch Nếu hủy chuyến du lịch vòng từ 05 – 10 ngày trước ngày khởi hành : Chi trả 90% giá tour du lịch 6 Nếu hủy chuyến du lịch vòng từ 01 – 04 ngày trước ngày khởi hành : Chi trả 100% giá tour du lịch Trường hợp thành viên bên B bị Lãnh Sự Quán Thụy Sỹ (hoặc Đại Sứ Quán Thụy Sỹ) từ chối Thị thực nhập cảnh vào Thụy Sỹ bên B tốn cho bên A chi phí bên A chi trả liên quan đến việc chuẩn bị cho chuyến Đoàn không thu hồi Sau thống số lượng khách đăng ký bên A hoàn tất việc đặt cọc vé máy bay, khách hàng bên B bổ sung thêm số lượng khách tham gia chương trình tùy tình hình cụ thể (visa, vé máy bay, phịng khách sạn) mà bên A chấp nhận không chấp nhận bổ sung Nếu bên A đơn phương hủy bỏ hợp đồng sau ký kết trước khởi hành, bên A phải hoàn trả lại toàn số tiền 100% giá tour theo cho bên B ĐIỀU 05: CÁC ĐIỀU KHOẢN KHÁC Trong trường hợp bất khả kháng thời tiết, thiên tai, đình cơng, bạo động, chiến tranh, dịch bệnh, chuyến bay bị trì hỗn thời tiết kỹ thuật… bên A miễn trách nhiệm.Trong trường hợp này, hai bên A B bàn bạc đưa phương án giải tốt nhằm giảm thiệt hại mức thấp giải theo hướng sau: Nếu chuyến bay bị trì hỗn hay bị hủy bỏ: Hướng dẫn viên bên A thay mặt đoàn liên hệ với hãng hàng không để đảm bảo cho khách đoàn quyền bồi thường theo quy định Hãng hàng khơng,đồng thời theo dõi việc bố trí chuyến bay cho đồn theo lịch bay mà Hãng hàng khơng xếp Nếu chương trình chuyến bị ảnh hưởng trường hợp bất khả kháng thiên tai, chiến tranh, dịch bệnh… khả thực tiếp tục được,bên A xếp lại chương trình,thời gian để đảm bảo an tồn cho chuyến khách Nếu bên A không đảm bảo chất lượng nội dung chương trình ghi phụ lục hợp đồng Bên B phạt bên A 50% phí dịch vụ trường hợp Hợp đồng lập thành bốn (04) có giá trị pháp lý có hiệu lục kể từ ngày Bên A Bên B ký kết Trong a few specific conditions like: ARTICLE 01: PARTY A’S RESPONSIBILITIES Make sure to take responsibility for all of the services provided to Party B like in the contract (follow the schedule, hotels, meals ) and only change when there’s permission from Party B Manage passports and flight tickets of tourists during the period of tourists following the tour in the scope of your responsibilities and efforts, not help the tourists in the situation that can show violating the rules about a country’s exit from Vietnam and Europe Ensuring safety and security for Side B’s tourists during the period of abroad touring a Time: days nights (Omission: The schedule details included) b The expected number: 22 tourists c Launched day: 05/05/2019 - 11/05/2019 d Transport: Qatar Airways e Hotel: 4* quality (2 guests/1 room) and personal rooms f All the meals/visas (according to the price attached) g Tour guide: 01 Vietnamese Tour Guide servicing the entire trip h International insurance: maximum compensation level 50.000 USD/case i Traveling insurance (Airline Insurance): maximum compensation level 10.000 USD/case and 1.000 USD/luggage ARTICLE 02: PARTY B’S RESPONSIBILITIES a Notifying the official list to Party A and handing over all of passports to Party A (there is a deadline above 06 months according to regulations) on March 26th, 2019 b Closely cooperate with Party A to implement the tourism tour program to achieve efficiency, along with Party A to organize the amount of bedrooms to be suitable with the tourist group list of Party B provided c Each individual in the group has to take responsibility for their own luggages d Each individual in the group must follow the rules of the group, hotel’s rules and must not carry nations banned items, weapon during the process of participating in the tourism program under this Contract e Pay full tour fees under each specific stage specified in Article of the contract Party B can pay for Party A in cash or bank transfer ARTICLE 03: CONTRACT VALUES AND PAYMENT METHOD A Contract value: Tax Included Value Increased Adult tourist price: 54,892,752 VND/Person x 20 Persons = 1,097,855,040 VND Voucher (02 persons): 54,892,752 VND/ Person x 02 Persons = 109,785,504 VND TOTAL = 1,207,640,544 VND B Payment methods: First time: Party B will make the first payment to Party A after the contract is signed 40% (Forty percent) of the contract value with the amount of: o 1,207,640,544 VNĐ x 40% = 483,056,218 VNĐ (Four hundred and eighty-three million zero hundred fifty-six thousand two hundred and eighteen VND) • Second time: After finishing the tour, the two parties liquidate the contract Party B will pay the remaining amount and incurred expenses based on the actual confirmation or settlement minutes signed by the leader of party B and the tour guide of party A (if any) for Party A Party A issues a VAT financial invoice to Party B according to the contract liquidation content that has been confirmed between the two parties Party B will pay the remaining amount to Party A within 60 days Party B pays Party A by bank transfer according to account information: Account name: BTT TOURISM SERVICE JOINT STOCK COMPANY Account number: 007.100.1234567 (VND) Bank: VIETCOMBANK City Branch Ho Chi Minh City ARTICLE 04: FINANCIAL CONDITIONS AND RESPONSIBILITIES RELATED TO CHANGE, ADDITION, AND CANCELLATION OF THE CONTRACT Party B agrees to pay Party A expenses in the following cases: All air tickets purchased by Party A for the group are group fare (passengers must go and return together on the same flight) and are non-refundable after having flown leg Therefore, if, for some personal or internal reason of Party B, some guests or the whole delegation of Party B prolong their stay in Europe, Party B or the individual guest will bear all costs to buy new air tickets to return to Vietnam In case Party B cancels the tour (the whole group) for internal reasons that are not the responsibility of Party A from the date of signing the contract, Party B agrees to pay Party A the non-refundable deposit that Party A already transferred to the European Airlines and Hotel of Party A (Party A presents documents) and 3% of the service fee for Party A is calculated on this total amount according to regulations TOUR CANCELLATION COST: After depositing the flight ticket (March 19, 2019) Guests who cancel the tour pay 5,000,000 VND/pax After completing the visa application procedure: 12,000,000 VND/person If the tour is canceled within 15-20 days before the departure date: Pay 50% of the tour price If the tour is canceled within 11-14 days before the departure date: Pay 70% of the tour price If the tour is canceled within 5-10 days before the departure date: Pay 90% of the tour price If the tour is canceled within 1–4 days before the departure date, you will pay 100% of the tour price If a member of Party B is denied a visa to enter Switzerland by the Swiss Consulate (or the Swiss Embassy), Party B must reimburse Party A for any expenditures incurred in preparing for the delegation's trip that cannot be recovered After agreeing on the number of registered guests and Party A completing the deposit of air tickets, if the customer at Party B adds the number of guests participating in the program, depending on the specific situation (visa, air ticket, hotel room), Party A may accept or decline the additional guests If Party A unilaterally cancels the contract after it has been signed before departure, Party A must reimburse Party B the entire amount of 100% of the tour price as stated above ARTICLE 05: OTHER TERMS In the event of force majeure due to weather, natural disasters, strikes, violence, war, epidemics, flights are delayed due to weather or due to technology Party A is exempt from responsibility In this case, parties A and B will discuss the best solution to reduce damage at the lowest level, which can be resolved in the following direction: If the flight is delayed or canceled, the A-party guide shall contact the airline on behalf of the whole delegation to ensure that the passengers of the delegation are entitled to compensation in accordance with the airline's regulations, and at the same time, monitor the flight arrangements for the group according to the new flight schedule arranged by the airline If the program of the trip is affected by force majeure cases such as natural disasters, wars, epidemics but still the ability to continue, Party A rearranges the program, time to ensure the safety of the guest's trip If Party A does not ensure the quality as stated in the annex to the contract, Party B will fine Party A 50% of the service fee for each case This contract is made up of four (04) copies of equal legal value and takes effect from the date Party A and Party B sign In the event of a content difference between the two languages, Vietnamese content will be prioritized for application Side A holds two (02)
