MINISTRY OF EDUCATION AND TRAINING HCMC UNIVERSITY OF LAW TRAN HUYNH THANH NGHI ENTERPRISES LAW IN RELATION TO ADMINISTRATIVE PROCEDURES REFORM IN VIETNAM Ho Chi Minh City - 2014 SOME HIGHLIGHTS FROM THESIS Tran Huynh Thanh Nghi In comparision with other works, my thesis ̓s theme : “Enterprises law in relation to the administrative procedures reform in Vietnam” has some highlights : - Firstly, this thesis is the first work solving the relation between enterprise law and administrative procedures reform in theory in Vietnam We analyze principles for enterpsises law on administrative procedures, criterions to evaluate the perfect of enterprises law on administrative procedures and the content of enterprises law on formation, reorganization and dissolution of enterprises Thesis determines the necessarity of administrative procedures reforms for enterprises and goals gained from those reforms in Vietnam These important outcomes have not ever been mentioned before by any other work in Vietnam or abroad - Secondly, this is the first work generalize the success and restriction of enterprises law effecting on the administrative procedures reform in Vietnam Thesis studies in the practical implementation of enterprises law on formation, reorganization and dissolution of enterprises with the active and negative impacts on the administrative procedures reform in Vietnam These results have not ever been mentioned by any other work before, especcilly after the intergration of Vietnam to be the official member of WTO in 2006 - Thirdly, this thesis is the first work evaluates the reality of business registration law for over years conducting the Government ̓s Decree 63/2010/NĐ-CP Particularly, thesis emphasizes on legal restrictions such as : subject for business registration, name of enterprises, the conflict between business registration stipulated in Enterprise Law and investment registration in Investment Law that causes negative impacts on the administrative procedures reform in Vietnam This content has not ever been mentioned by any other work before - Fourthly, this thesis is the first work studies in business license law with its influences on the process of formation, operation of enterprises and the administrative procedures reform in Vietnam After that, this thesis provides legal solutions on business license in accordance with business freedom of enterprises and the administrative procedures reform in Vietnam These solutions have not ever been declared by any other work before - Fifthly, legal solutions of my thesis for the improvement of enterprises law ensures the business freedom for enterprises and the effect on state administration in Vietnam These solutions are formed through the practical implementation of enterprises law on administrative procedures that is not solved by any other work before
