+ VAT invoice ĐIỀU 3: CHẤT LƯỢNG HÀNG HÓA- BẢO HÀNH: ARTICLE 3: QUALITY PRODUCT - WARRANTY  Chất lượng hàng hóa Bên A quy định theo chất lượng sản phẩm  Party A’s product quality are specified in the quality standards  Hàng 100%, đảm bảo thông số kỹ thuật, tính năng, đặc điểm thiết bị theo bảng chào giá  100% new, ensuring the specifications, features and characteristics of the device on the price list  Thời gian Bảo hành: Bên A có trách nhiệm bảo hành sản phẩm lỗi nhà sản xuất thời gian khóa 24 (hai mươi bốn) tháng bảo trì định kỳ (sáu) tháng (một) lần kể từ ngày bàn giao, nghiệm thu  Warranty period: Party A is responsible for warranty for manufacturer's fault products during the 24 (twenty four) months with lock and maintenance every (six) months to (one) time from the date of delivery and acceptance  Bên A training vấn đề kỹ thuật cho đội ngũ IT tòa nhà Bên B để Bên B xử lý cố kỹ thuật Bên B phải xếp nhân tập trung cho Bên A huấn luyện training cho Bên B tối đa (hai) lần  Party A will training technical issue for IT staff the building of Party B to Party B resovle problem techniques Party B must arrange personnel focused training for Party A to Party B train up to (two) times  Khi xảy cố kỹ thuật, Bộ phận IT Bên B không xử lý thông báo cố cho Bên A Bên A nhận thông tin hướng dẫn xử lý qua điện thoại cho Bên B Trong trường hợp không xử lý qua điện thoại, Bên A cam kết xử lý bảo hành cho Bên B thời gian hành sau nhận thơng báo bảo hành từ Bên B  When incidents technique, IT staff of Party B can not be handled and incident notification to Party A, Party A will receive information and instructions for handling telephone to Party B In the absence of handled by telephone, Party A handle warranty commitments to Party B period of hours after received notice from Party B's warranty  Trong trình sử dụng sản phẩm hết thời gian bảo hành, gặp cố kỹ thuật, Bên A hỗ trợ Bên B giải thời gian (năm) năm, Bên A thực việc sữa chữa thay có tính phí theo thỏa thuận warranty period + Bên B tự ý tháo lắp hàng hóa khơng kỹ thuật + Party B purposely assembles products incorrectly + Khiếm khuyết hư hỏng việc sử dụng sản phẩm không mục đích, cơng nhà sản xuất + Damaged or defective products caused by using wrong manufacturer's capabilities  Khiếm khuyết hay hư hỏng Người sử dụng, bảo quản sản phẩm không hướng dẫn kỹ thuật Bên A  Damaged or defective products caused by users preserved products incorrectly with Technical guidance of the Party A  Những hư hỏng tác động từ bên rơi vỡ, va vào vật cứng, vận chuyển, bị nhiễm nước độ ẩm cao  Damage products caused by external influences such as fell broken, hitting hard objects, transportation, contaminated water or humidity is too high + Sản phẩm bị hư hỏng kiện bất khả kháng kiện xảy sau thời điểm ký kết hợp đồng này, mà bên khơng có khả dự đoán, kiểm soát ngăn chặn Các kiện bất khả kháng là: động đất, sóng thần, núi lửa, lũ lụt, hỏa hoạn, cháy nổ… + Damage products caused by force majeure tuần) + Priod 4: 1000 sets (will be delivered times and not more than week)  Thời gian dự kiến giao hàng gia hạn trường hợp Bên A có lý đáng thông báo trước cho Bên B Tuy nhiên thời gian trễ hạn không 10 ngày Trong trường hợp Bên B khơng thực tốn theo tiến độ, Bên B chậm trễ việc bàn giao mặt hoàn thiện theo tiêu chuẩn yêu cầu để Bên A tiến hành lắp đặt, thời gian giao hàng gia hạn tương ứng theo thời gian chậm trễ chậm trễ nêu  Expected time of delivery may be extended in cases party A has good reason and prior notice to Party B However, the delay time shall not exceed 10 days In case records made in 04 copies, each party keeps 02 copies and have the same value ĐIỀU 5: QUYỀN HẠN VÀ NGHĨA VỤ CÁC BÊN ARTICLE 5: BENEFIT AND LIABILITIES OF THE PARTIES 5.1 Bên A: 5.1 Party A:  Được quyền yêu cầu Bên B toán đầy đủ hạn số tiền toán theo quy định hợp đồng  Party B is entitled to request payment in full and timely payment amount as stipulated in the contract  Được quyền đơn phương chấm dứt hợp đồng mà chịu khoản phạt Bên B vi phạm nghĩa vụ hợp đồng  Be entitled to unilaterally terminate the contract without incurring any penalties when Party B violates the obligations under this contract  Yêu cầu Bên B bồi thường thiệt hại trường hợp Bên B vi phạm hợp đồng  Request Party B to pay damages in case of breach of contract Party B  Tư vấn cho Bên B sản phẩm dịch vụ hàng hóa phù hợp với nhu cầu bên B Cập nhật thơng tin (nếu có) sản phẩm nhằm đáp ứng nhu cầu bên B  Party B advise on products and services best suited to cargo needs of the Party B Update the latest information (if any) for the product to meet the needs of Party B  Cam kết cung cấp hàng hóa chủng loại, chất lượng tiêu chuẩn kỹ thuật nhà sản xuất  Committed to providing the right type of goods, quality and technical standards of the manufacturer  Cam kết thực đầy đủ nghĩa vụ giao nhận lắp đặt vận hành sản phẩm, hướng dẫn sử dụng thiết bị theo quy định hợp đồng  Committed to properly and the total value of the contract obligations are violated  Trường hợp Bên B vi phạm điều khoản nêu hợp đồng này, Bên A quyền phạt Bên B: % tổng giá trị phần nghĩa vụ Hợp đồng bị vi phạm  Where Party B violates one of the terms stated in this agreement, Party A can serve Party B: 8% of the total value of the contract obligations are violated 6.2 Bồi thường thiệt hại: 10 6.2 Damages  Trường hợp Bên B yêu cầu Bên A bồi thường thiệt hại phần nghĩa vụ Hợp đồng bị vi phạm, Bên B phải chứng minh giá trị thiệt hại tổn thất thực tế, trực tiếp khoản lợi trực tiếp bên B hưởng khơng có hành vi vi phạm mà Bên A gây  If Party B requests Party A to pay damages for part of the obligation contract is violated, it shall continue to demonstrate the value of real loss damage, direct and immediate profits should Party B enjoy without violations caused by Party A  Trường hợp Bên A yêu cầu Bên B bồi thường thiệt hại phần nghĩa vụ Hợp đồng bị vi phạm, Bên A phải chứng minh giá trị thiệt hại tổn thất thực tế, trực tiếp khoản lợi trực tiếp Bên A hưởng khơng có hành vi vi phạm mà Bên B gây ra; đồng thời Bên B chấp nhận không lấy lại số tiền mà Bên B toán cho Bên A; Bên B phải chịu tồn tiền chi phí cho luật sư mà Bên A mời để tham gia giải công việc  If Party A requests Party B to pay damages for part of the obligation contract is violated, then Party A has to prove the value of real loss damage, đình cơng, biểu tình, cháy nổ bom mìn cịn sót lại sau chiến tranh; xảy chiến tranh), hai bên miễn trừ trách nhiệm nghĩa vụ thực hợp đồng, phải thông báo cho văn sau xảy kiện bất khả kháng Bên thơng báo trễ q (ba) ngày, bên phải chịu trách nhiệm - In the force majeure (storms, floods, disease, other natural disasters, strikes, demonstrations, fires and explosions caused by landmines left from the
