thức đặt hàng giao nhận Article 2: Order and delivery procedure 5.1 5.2 Bên B gửi đơn đặt hàng cho Bên A email điện thoại thống liên lạc hai bên Sau Bên B gửi đơn hàng, Bên A phải xác nhận đơn hàng Bên B vòng 01 ngày Party B should send the order to Party A by email or telephone as informed After sending the order, Party A should confirm the order of Party B within 01 working day Bên A giao hàng kho Bên B định đơn đặt hàng vòng 02 ngày kể từ lúc xác nhận đơn hàng Nếu có thay đổi ngày giao hàng, bên A thơng báo cho bên B vòng 12 kể từ lúc xác nhận đơn hàng Party A deliver at the warehouse of Party B as indicated in the order within 02 days from the confirmation of the order If there is any change, party A should inform party B within 12 hours from the confirmation of the order 5.3 Khi nhận hàng, bên B kiểm tra số lượng chất lượng hàng hóa ký nhận While receiving the goods, Party B should check the quantity and quality of the products and sign 5.4 Phí vận chuyển: Bên mua trả tồn phí vận chuyển chi phí khác phát sinh liên quan tới việc vận chuyển trái cây, bao gồm chi phí lưu trữ, bốc xếp, dỡ hàng, đóng gói chi phí khác Transportaion costs: Buyer shall be responsible for all transportation and other costs incurred relative to delivery of the Fruit, shall include all storage, loading, unloading, handling and other charges Điều 3: Hình thức thời hạn tốn Article 3: Method and Term of payment 4.1 Hình thức toán : tiền mặt chuyển khoản qua Ngân hàng Method of payment: Cash or Bank transfer 4.2 Thời hạn toán: toán nhận hàng tiền mặt chuyển khoản, toàn đơn hàng tháng tổng hợp 01 lần/ tháng, số tiền công nợ toán sau hai bên thống công nợ Trang Term of payment: Direct paid when receive fruits by cash/bank transfer or all purchases of a month should be summarized 01 time/month, the amount of the summary should by paid after parties agreed the amount Điều 4: Trách nhiệm bên A Article 4: Responsibilities of party A 6.1 Bên A đảm bảo giao hàng hóa theo đơn đặt hàng Bên B có trách nhiệm ghi rõ yêu cầu nguồn gốc, tiêu chuẩn chất lượng, số lượng, nhãn hiệu bao bì sản phẩm As such, Party A must deliver the goods in compliance with the Purchase Order Any particular requirements of the Purchaser should, therefore, be clearly specified in the Purchase Order (origin, quality, quantity, brand, packaging, etc.) 6.2 Bên A phải chịu trách nhiệm bên B bên thứ ba đặc biệt cá nhân, hiệp hội người tiêu dùng, quan kiểm tra thiệt hại gây hoạt động mình, đặc biệt Hàng Hóa khơng phù hợp tiêu chuẩn hay có khiếm khuyết Bên A người chịu trách nhiệm vi phạm gây ra, trừ chứng minh việc Hàng Hóa khơng phù hợp tiêu chuẩn việc Hàng Hóa có khiếm khuyết lỗi Bên B trình lưu kho, bốc dỡ vận chuyển Hàng Hóa kho cửa hàng Party A shall be responsible to Party B and any third parties, especially individuals, consumer associations, state control and inspection agencies, for all damages that may be caused to them by its activities, especially by the nonconformity or defect of the Product in accordance with applicable laws and regulations Party A shall be solely responsible for any infringements of the applicable laws and regulations, unless the party A proves that the nonconformity and defect of the Product is due to Party B’s gross negligence or wilfull breach of the Contract during the storage, handling and transport of the Product within its warehouse and store 6.3 Đảm bảo giao hàng điều kiện tốt Party A warrants that they will deliver the Products in the best usual conditions 6.4 Bên A chịu trách nhiệm vận chuyển sản phẩm bên A làm việc với đối tác vận chuyển để đảm bảo việc chuyển hàng đến tận địa điểm bên B Party A will be in charge of transportation of the Products or party A should work with partner to ensure the delivery direct to the place of party B Điều 5: Trách nhiệm bên B Kết hợp tốt với bên A trình kiểm tra, giao nhận hàng hóa Co-operate with party B during the checking, receiving goods Thanh toán tiền hàng hạn cho bên A Proceed the payment in the right time as precised in the contract Trang Điều 6: Thời hạn hợp đồng Article 6: Duration of the contract Hợp đồng có hiệu lực kể từ ngày ký This contract has the duration from the
