MINISTRY OF EDUCATION AND TRAINING MINISTRY OF JUSTICE HANOI LAW UNIVERSITY ************ INFORMATION SHEET ON NEW RESEARCH FINDINGS OF THE DOCTORAL THESIS Thesis title: THE LAW ON ENTERPRISE ACQUISITION IN VIETNAM Specialty: Economic Law; Code: 62.38.01.07 Doctoral candidate: Tran Thi Bao Anh Supervisors: Associate Prof Dr Nguyen Viet Ty; Dr Phan Chi Hieu Training institution: Hanoi Law University SUMMARY OF NEW RESEARCH FINDINGS On the basis of the selective inheritance of the previous studies on the law on enterprise acquisition in Vietnam, together with the independent and serious study of the candidate, the Thesis has made new scientific contributions as follows: Firstly, the Thesis has constructed theoretical foundations of the law on enterprise acquisition in Vietnam The Thesis has analysed the concept of enterprise acquisition and clarified legal characteristics of enterprise acquisition Based on this, the Thesis has pointed out the basic legal characteristics of enterprise acquisition in comparable relation to enterprise merger, assets trading, enterprise giving, transfer of shares, and capital contribution of enterprise members The content of the law on enterprise acquisition, as the Thesis has defined, covers forms of enterprise acquisition, subjects of enterprise acquisition, contracts of enterprise acquisition, procedures for enterprise acquisition, and supervision over enterprise acquisition in terms of the adjustment of the competition law Secondly, the Thesis has assessed rather comprehensively and systematically the reality of the law on enterprise acquisition in Vietnam, pointing out the inadequacies of the current law on enterprise acquisition Also, the Thesis has analyzed and assessed international experiences in law adjustment for enterprise acquisition for Vietnam’s references in the process of improving the law on enterprise acquisition Thirdly, the Thesis has recommended scientific requirements and specific solutions for improving the law on enterprise acquisition, meeting the increasing demand for enterprise acquisition in the market economy of the international integration period in Vietnam INTERNATIONAL COOPERATION DEPARTMENT OF HANOI LAW UNIVERSITY SUPERVISORS CANDIDATE Associate Prof Dr NGUYEN VIET TY Dr NGUYEN VAN QUANG Dr PHAN CHI HIEU TRAN THI BAO ANH
