SOCIALIST REPUBLIC OF VIET NAM Independence – Freedom - Happiness -*** Hanoi, dated May 18th 2016 No: 03/2016/ NQ-ĐHĐCĐ-TĐBV RESOLUTION ON THE 2016 ANNUAL GENERAL MEETING OF SHAREHOLDERS OF BAOVIET HOLDINGS - Pursuant to the Enterprise Law No.68/2014/QH13 dated November 26th 2014 and other related guidelines for the implementation of the Enterprise Law; - Pursuant to the Charter of BaoViet Holdings; - Pursuant to the 2016 Meeting Minutes of the Annual General Meeting of Shareholders of BaoViet Holdings dated May 18th 2016, HEREBY TO RESOLVE: Article 01 Approve of the Plan on raising the Chartered Capital through the issuance of shares according to the Employee Stock Ownership Program (“ESOP”) of BaoViet Holdings (“BVH”) as follows: Objective of ESOP program: - Recognize contributions of the current employees of BaoViet Finance – Insurance Group (“BaoViet”); - Attract, maintain and promote employees of BaoViet for their long-term contribution and commitment; - Enhance roles and responsibilities of employees, promote and improve work efficiency in order to excellently complete assigned tasks; - Adhere work efficiency to the shared benefits for the development of BaoViet; - Attract and retain key outstanding staffs with great potentials and experience in such highly competitive HR market Contents of ESOP program: - Number of share on offer: Max 5% issued shares (equivalent to 34,023,571 shares); - Type of shares on offer: Ordinary shares; - Par value: VND10,000/share; - Issued share price: Not lower than VND10,000/share; Authorize BOD to decide a specific issuance price in compliance with current regulations and legislations; - Rightful employees, principles for allocation: Authorize BOD to develop criteria and principles to determine the rightful employees, and to allocate shares in compliance with current regulations; - Transfer restrictions: Authorize BOD to decide on the basis of ensuring the effectiveness of ESOP as well as the interests of current shareholders; - Usage plan of additional capital: the expected amount of mobilized capital from the issuance shall be used in supplementing the investment demand for the development of BVH in the period of 2016-2017; - Time of implementation: within 2016; - Resolving undistributed shares: Authorize BOD to proactively offer the sale of undistributed shares to objects in the program Authorize BOD to determine and monitor the implementation of the contents as follows: - Preparing the detailed plan on issuance; - Accomplishing the detailed plan upon request of Ministry of Finance and the State Securities Commision of Vietnam in compliance with the current regulations; - Amending the Charter of BVH with content related to the Chartered Capital, equity and shares in accordance with the law due to the the increase of Chartered Capital after the issuance of ESOP as above; - Registering the supplemented dopository of the actual issued shares according to the ESOP programme at the Vietnam Securities Depository (“VSD”) and listing the supplemented the actual issued shares according to the ESOP programme at the Ho Chi Minh Stock Exchange - Implementing other procedures (if any) upon request by the State governing agencies in order to ensure the capital mobilization of BVH to be implemented and completed in such legal and rightful manners; - Implementing the plan on the usage of capital raised by the issuance approved by the AGM on the basis of utilizing the interests of shareholders and BVH; - Other contents incurred from the issuance The voted results of the shareholders participated in the AGM as follows: - Agreed: - Disagreed: No comment: 629,242,743 account for 96.77% of shares entitled to participate in shares, AGM 21,026,281 shares, account for 3.23% of shares entitled to participate in AGM shares, account for % of shares entitled to participate in AGM The voted results after eliminating the votes from shareholders with related benefits are as follows: - Agreed: - Disagreed: No comment: 629,225,741 account for 96.77% of shares entitled to participate in shares, AGM 21,026,281 shares, account for 3.23% of shares entitled to participate in AGM shares, account for % of shares entitled to participate in AGM Article 02 This resolution shall be valid from the date of May 18th 2015 The Board of Directors (“BOD”), Supervisory Board and CEO of BVH shall hold responsibilities in implementing this Resolution./ Achieves: - All shareholders of BVH; - BOD members, SB; - CEO of BVH; - Information Disclosure Officer, Spokesperson of BVH; - For filing: Admin, General Secretary Div., Brand & Communication Div ON BEHALF OF THE AGM CHAIRMAN OF THE BOD (Signed and sealed) Dao Dinh Thi [2009년 3월] 해커스토익 Lynn한 선생님 예상문제 www.Hackers.co.kr 101.Managers need to know what motivates their employees to ________ them committed to their organization.
