Estimated Taxes

The estimated tax rules for S corporations generally follow the rules for C corpo

rations: S corporations with a federal income tax liability of $500 or more due to the builtin gains tax or excess net passive income tax must estimate their tax liabil

ity for the year and pay it in four quarterly estimated installments. However, an S  corporation is not required to make estimated tax payments for the LIFO recapture tax.58

Filing Requirements

S corporations are required to file Form 1120S, U.S. Income Tax Return for an S Corpo

ration, with the IRS by the 15th day of the third month after the S corporation’s yearend (e.g., March 15 for a calendaryearend S corporation). S corporations may receive an automatic, sixmonth extension by filing Form 7004 with the IRS prior to the original due date of the return.59 Thus, the extended due date of an S corporation tax return is generally September 15.

Exhibit 223 presents page 1 of CCS’s Form 1120S (for its 2018 activities), CCS’s partial Schedule K, and Nicole’s K1 (we use 2017 forms because 2018 forms were unavailable at the time this book went to press). Note the K1 of the 1120S is different from the K1 of the 1065. In contrast to the 1065 Schedule K1, the 1120S Schedule K1 does not report selfemployment income, does not allocate entitylevel debt to shareholders, and does not allow for shareholders to have profit

andlosssharing ratios that are different from shareholders’ percentage of stock ownership.

THE KEY FACTS S Corporation Estimated

Tax and Filing Requirements

• S corporations owing the built-in gains tax or excess net passive investment in- come tax (but not the LIFO recapture tax) must pay the tax based on estimated tax rules similar to C corporations.

• S corporations file Form 1120S to report the results of their operations for the year. They request a filing extension on Form 7004.

58Rev. Proc. 9461, IRB 199438,56.

59Under §6698, latefiling penalties apply if the S corporation fails to file by the normal or extended due date for the return.
