**New Design Principles for Executive Pay** 1. **Incentives should be aligned with the long-term interests of the company.** This means that the incentive should be tied to metrics such as company earnings and shareholder value, rather than the short-term performance of the individual executive. 2. **Incentive should be clear and understandable.** The executive should be able to clearly understand how they will earn their pay, and how their performance will be evaluated. 3. **Incentive should be challenging but achievable.** The executive should be able to reach their goals if they perform well, but the goals should not be so easy that they are not motivated to achieve them. 4. **Incentives should be equitable.** The executive should be paid fairly for their performance, and their pay should be in line with the pay of other executives in similar positions. 5. **Incentives should be transparent.** The executive should be able to see how their pay is calculated, and the company should be transparent about its incentive compensation program.
